OpenAI Files Confidential IPO Paperwork as AI Development Costs Continue to Rise

OpenAI has confidentially filed draft paperwork for a potential initial public offering, positioning the ChatGPT developer to access public capital markets as the cost of building advanced artificial intelligence systems continues to climb.

The company confirmed that it had submitted a confidential draft registration statement, or S-1, to the U.S. Securities and Exchange Commission, beginning the formal review process for a possible stock market listing. No offering size or timeline has been announced.

The filing comes just one week after rival AI company Anthropic disclosed that it had also confidentially submitted IPO paperwork, adding to expectations that some of the industry’s largest private firms are preparing for eventual public listings.

OpenAI’s move follows a period of rapid growth for the company, which has expanded its consumer, enterprise, and developer businesses around ChatGPT and its AI models. The company was last valued at approximately $852 billion in a private fundraising round earlier this year, with some market observers speculating that a future public valuation could exceed $1 trillion.

The potential listing also highlights the increasingly capital-intensive nature of the artificial intelligence sector.

Developing and operating frontier AI models requires large investments in computing infrastructure, specialized chips, data centers, and energy. Industry estimates cited in recent reports suggest that OpenAI could record significant losses over the next several years as it continues to expand its AI capabilities and global infrastructure.

A public offering would give the company access to a broader pool of capital while providing liquidity for employees and early investors.

The filing also comes as competition among leading AI developers intensifies. OpenAI faces growing pressure from rivals including Anthropic, Google, Meta, and xAI, all of which are investing heavily in next-generation AI systems and the infrastructure needed to support them.
